Shell LiveWIRE Smarter Future Awards (the “Competition”) 
Terms and Conditions (the “Terms and Conditions”) 
1. Applicants and the Promoter: 
1.1 The promoter is Shell UK Oil Products Limited of Shell Centre, London, SE1 7NA as agent for Shell U.K. Limited also of Shell Centre, London, SE1 7NA (the “Promoter”). No correspondence should be sent to the above address. 
1.2 The competition is open to individuals who have, or are about to have, a business and are operating as a sole trader, partnership, limited company or community interest company (including university spin outs) (“Applicant(s)”).
1.3 Franchises or subsidiaries of other companies are not eligible to enter the Competition.
1.4 Applicants must:
1.41 be aged between 16-30 (inclusive) (with the age to be determined on the last day of the award month)
1.4.2 be UK residents (including sole traders, all partners or directors) and provide proof of such;
1.4.3 submit a completed entry form no later than midnight on the last day of the month;
1.4.4 accept that the judges' decision is final;
1.4.5 be applying with a business which has not previously won a Shell LiveWIRE Award,
1.4.6 not have won a Shell LiveWIRE Smarter Future Award or a Shell LiveWIRE Young Entrepreneur of the Year Award in the last 24 months, or currently be on the longlist or shortlist for a Shell LiveWIRE Young Entrepreneur of the Year Award;
1.4.7 have (or be about to have) a legal business operating in the UK (at the time of entry into the Competition);
1.4.8 enter with a business that is either a pre-start (within 12 months of starting to trade) or has been trading not more than 1 year on the deadline date of the award*; 
1.5 The Competition is not open to any employee, or a member of the immediate family of an employee of, Shell UK Limited (“Shell”) or any Shell affiliate company 
*For the purposes of this application, 'trading' is defined as the date you first accepted a cash payment for a sale which, in turn, went into your business bank account. We may ask to see proof of this.  
2. Competition will operate as follows: 
2.1 The Competition shall run from 00:00 on the 1st day of each month until 23:59 on the last day of each month until 31st July 2019 (“Competition Period”).
2.2 Participants must submit an entry form (“Submission”) during the Competition Period via the online entry process by 23:59 on the last day of the month. Any Submissions outside the Competition Period shall not be considered in the Competition. 
3. All candidates shortlisted for the Shell LiveWIRE Smarter Future Awards will be required to: 
3.1 Have a telephone interview discussing your application in more detail with a member of staff at Shell LiveWIRE; 
3.2 Have their business details (such as name and nature of the business) posted on the website and be used for Shell LiveWIRE publicity materials (please note that we will use the 'Describe Your Business' section of the application form to create this);
3.3 Provide a 1-minute video elevator pitch for the Shell LiveWIRE website which will be voted on by users. 
4. Prizes: 
4.1 The prize shall be as follows (“Prize”): 
4.1.1 During the Competition Period, one winner each month will win a cash award of £5000; 
4.2 The criteria on which the Applicants will be assessed is available at The terms provided in the aforementioned link are incorporated by reference herein. 
4.3 In the event of unforeseen circumstances, the Promoter reserves the right to offer an alternative prize of equal or greater value;
4.4 By accepting the Prize, a winner agrees to hold the Promoter and its affiliates harmless against any and all claims and liability arising out of the award of, the use, misuse or redemption of any Prize. Where the law implies warranties, which cannot be excluded, the Promoter’s liability for breach of those warranties is limited to resupplying the Prize (or paying for the costs thereof), where this is permitted by law.
4.5 Except as prohibited in accordance with applicable mandatory local laws including, without limitation, liability for death or personal injury (as applicable), each winner assumes all liability for any injury or damage caused, or claimed to be caused by participation in this Competition or use or redemption of any Prize. 
5. All winners of funding awards will be required to: 
5.1 Provide proof of age (copy of driving licence, birth certificate, passport etc); 
5.2 Provide proof of UK residency; 
5.3 Respond to short surveys after 6 months, 12 months and three years, which will look at how the money has been used and the impact of the expenditure (we will contact you nearer the time); 
5.4 Spend the funding on your business and provide proof of this; 
5.5 Provide bank account details for payment (payment can only be made to bank accounts in the name of the award winner, or to business bank accounts where the award winner is named as the owner or founder of the business); 
5.6 Take part in a photo shoot and interview with the PR team within 10 days of winning the award.
6. The Promoter’s Rights:  
6.1 By entering the Competition, each Applicant will be sharing his/her personal information with the Promoter to administer and fulfil the Competition. By entering, each Applicant consents to the manner of collection, use, and disclosure of personal information as set out in Shell’s privacy policy, which is available at
6.2 the Promoter’s decisions are final in every situation including any not covered above and no correspondence will be entered into regarding such decisions.
6.3 Neither the Promoter nor its affiliates or agents shall be liable under or in connection with these Terms and Conditions, the Competition or the use or redemption of any Prize for any indirect, special or consequential cost, expense, loss or damage even if such cost, expense, loss or damage was reasonably foreseeable or might reasonably have been contemplated by the Applicant and the Promoter or its agents and whether arising from breach of contract, tort, negligence, breach of statutory duty or otherwise.
6.4 This Competition, including these Terms and Conditions, is governed by the laws of England and Wales and you submit to the exclusive jurisdiction of the English courts in relation to any dispute arising under or in connection with the Competition and/or these Terms and Conditions.
6.5 Applicants are deemed to have accepted and agreed to be bound by these Terms and Conditions upon entry. The Promoter reserves the right to refuse entry, or refuse to award the Prize to anyone in breach of these Terms and Conditions.
6.6 The Promoter reserves the right at its sole discretion to cancel, terminate, modify or suspend the Competition in whole or in part at any time.
6.7 The Promoter reserves the right at its sole discretion to amend the Terms and Conditions in whole or in part at any time;
6.8 The Promoter and its parent company, subsidiaries, affiliates and any other individuals or legal entities participating in the design or administration of this Competition accepts no responsibility for: (1) any incorrectly submitted information; (2) technical or human error which may occur in the administration of the Competition or the processing of Submissions; (3) the failure of any attempted Submission to be received by the deadline; or (4) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties of any kind. 
7. Protecting your ideas: 
7.1 You accept that it is your responsibility to make sure that you are satisfied with the level of protection for your idea before you submit it to Shell, and to take your own legal advice on this.
7.2 You are responsible for applying for patent protection in respect of your idea before submitting it to Shell if you consider patent protection appropriate.
7.3 You understand that you may not be able later to apply for patent protection for an idea, which you have disclosed on a non-confidential basis.
7.4 Please do not include more detail about your idea than you feel comfortable with or than is indicated in the application form, and if in any doubt, leave it out. However, you should note that, if insufficient detail is provided by you in the application form for the judges to make a proper assessment of your idea, you will not be contacted for further information and your application may be rejected.
7.5 You must take all reasonable and appropriate steps to minimise the risk of fraud, theft and corruption in your project. If you engage external auditors, you must ask them to report directly to Shell any suspected or actual fraud, theft or corruption identified by them on their examination of your affairs.
8. Freedom to disclose your idea: 
8.1 You are responsible for ensuring that your application contains only work produced by you and that it is the result of its own effort and investment.
8.2 You will not upload, display or transmit via the Shell LiveWIRE website any material which you know or ought reasonably to know is false, offensive, defamatory, threatening, obscene, unlawful or infringes the intellectual property or other rights of any third party, and you will not seek to disrupt, interfere with or restrict the use of the Shell LiveWIRE by any party or send unsolicited e-mails to any e-mail address published on the Shell LiveWIRE website.
8.3 If you breach this clause your application shall be automatically rejected. If your application is rejected on these grounds and Shell has already paid funding to you, you shall on demand repay Shell the award in full. 
9. Promotion and publicity 
9.1 On receipt of your application the Website Operator (PNE Group) may inform the Shell Administrators that you have applied and disclose your contact details and your details of your application to them. Shell may contact you to request that your business details are used to promote Shell LiveWIRE to other businesses. Please note that participation in such promotional activities does not guarantee that you will receive an award. 
9.2 Shell uses the personal data you provide to consider your application. Shell will disclose your personal data to (i) PNE Group (ii) judges involved in the Shell LiveWIRE award in respect of the Shell LiveWIRE programme. 
9.3 If you win the award you agree, without additional payment, to:
9.3.1 Cooperate with Shell in order to announce your success and the funding awarded;
9.3.2 The reasonable use of your details, elevator pitch, and photographs in Shell advertising, marketing or promotional material on Shell’s websites or otherwise;
9.3.3 Provide Shell with regular updates about (i) how, and how much, of the funding has been spent; (ii) material developments in the project and milestones reached; (iii) business challenges you have faced; and (iv)details of any publicity material produced or publicity received that references your Shell LiveWIRE funding;
9.3.4 Acknowledge Shell’s support and use the Shell LiveWIRE logo and other materials only in the form notified to you by Shell in any promotional materials you produce for the period of your business plan. 
10. Shell’s business activities: 
10.1 A limited number of employees in the Shell group (“Shell Administrators”) will be involved in the administration of, promotion of and publicity for Shell LiveWIRE and may have access to your applications. In such circumstances these employees will be bound by obligations of confidentiality preventing them from disclosing your information to other Shell employees within the group. 
10.2 Except for the Shell Administrators, Shell will not have access to your application and will not use your ideas to further its business objectives.
10.2.1 To protect your ideas, the application process will be managed by, and the applications judged by, independent third parties appointed by Shell. Except for the Shell Administrators, Shell’s direct involvement in the process shall be restricted to the payment of funds to successful applicants.
10.2.2 However, you accept that Shell or the Shell group may already be independently pursuing business opportunities, which are similar to, or the same as yours. Therefore, the submission of your application will not in any way preclude Shell or the Shell group from continuing its business activities in the area of carbon emissions or sustainability, nor place any obligation on Shell to account to you for any benefit derived from its activities. 
11. Limitations of Liability: 
11.1 Shell gives no guarantee as to the outcome of your application. 
11.2 Except as expressly set out in the Terms and Conditions, all warranties, undertakings, conditions and terms, express or implied, whether by common law, statute, custom, trade usage, course of dealings or otherwise (including without limitation as to quality, fitness for purpose, performance or suitability for purpose) in respect of the Shell LiveWIRE or any other subject of the Terms and Conditions are hereby excluded to the fullest extent permitted by law.
11.3 Nothing in the Terms and Conditions shall exclude the liability of Shell to you for loss and damage arising from fraudulent misrepresentation or for death or personal injury resulting from its negligence or that of its employees.
11.4 Shell shall not be liable to you for any act or omission of the shortlist judges and/or judging panel.
11.5 Shell shall not be liable to you under or in connection with the Terms and Conditions for any indirect, economic or consequential loss or for any loss of profits, loss of business, loss of contracts, loss of use or loss of reputation.
11.6 Shell shall not be liable to you under or in connection with the Terms and Conditions for any loss arising out of or from (i) difficulties you experience in submitting your application online or accessing the website; (ii) user errors; (iii) negligent use of the website; (iv) sharing of passwords leading to unauthorised access to applications; or (v) your application being lost, delayed or damaged in the post; or (vi) non, late or damaged receipt of any claim for funding, notification or other communication.
11.7 The limit of Shell’s liability to you in respect of all claims arising out of or from any breach by Shell of the Terms and Conditions or the terms of the Shell LiveWIRE Website is limited to the amount you have been awarded. The Terms and Conditions shall be governed by English law and the English courts shall have exclusive jurisdiction to deal with any dispute (whether in contract, tort or otherwise) arising out of or in connection with it.
11.8 The Contracts (Rights of Third Parties) Act 1999 shall not apply to this Contract.
11.9 You shall not assign any of its rights or obligations arising from the Terms and Conditions without the prior written consent of Shell.
11.10 The Terms and Conditions shall constitute the entire agreement between the parties and shall supersede all previous understandings, oral or written, between the parties with respect to the subject matter hereof. In the event of conflict between a provision of the Terms and Conditions and a section of the Shell LiveWIRE website, the provisions of the Terms and Conditions shall prevail;
